El deber de lealtad contractual. Justificación y aplicación

Compartir
The goal of this doctoral dissertation is to explain that, for certain types of contracts, such as relational contracts, loyalty duties that derive from objective good faith are enforceable. Loyalty duties impose a more demanding standard, which requires the contracting parties to protect the interest of the other party in a special way or even to confer a straightforward benefit to them. This dissertation purports also to show that the enforceability of loyalty duties is justified by the need to protect against the risks created by the vulnerability and dependency typical of the trust relationships without which the success of these contracts becomes unlikely.
